Venue Terms & Condition

Introduction

These Terms and Conditions (“Terms”) form a binding agreement between Premier Tickets (“Company”, “we”, “our”, “us”) and the participating venue (“Venue Partner”, “you”) in the Premier Tickets Venue Partnership Program (“Program”). By participating in the Program, you agree to the conditions outlined here and any future revisions.

Eligibility Criteria

  1. You must be the legal owner/operator of the venue or authorized to represent the venue in contractual
    agreements.
  2. Your venue must regularly host live events, exhibitions, or performances suitable for ticketing via our
    platform.
  3. Premier Tickets reserves the right to approve or reject any application based on operational standards,
    location, or brand alignment.

Enrollment & Approval

  1. Venues must complete the official Venue Partnership Application Form on our website.
  2. Approved venues will receive dashboard access, a unique referral code, onboarding guidance, and applicable
    commission terms.
  3. All information shared must be accurate and up to date. Changes must be promptly reported.

Revenue Sharing & Payouts

  1. Venue Partners earn commissions when tenant organizers sell tickets using Premier Tickets via venue
    recommendation or integration.
  2. Commission rates are determined based on geography, event volume, or custom arrangements during onboarding.
  3. Monthly payouts are processed within 15 business days after the end of the month, provided a minimum payout
    threshold of $100 is met.
  4. Payout adjustments may occur in case of cancellations, refunds, chargebacks, or breach of agreement.
  5. Supported payment methods include bank transfers, PayPal, or others as mutually agreed.

Attribution & Referral Tracking

  1. Referrals are tracked via unique venue links, IDs, or integration agreements with organizers.
  2. Attribution is valid for up to 90 days post referral, provided no alternate channel overrides it.
  3. Venue Partners must not engage in fraudulent or misleading referrals (e.g., false bookings or fabricated
    events).

Partner Obligations

  1. You agree to actively promote Premier Tickets as the preferred or exclusive ticketing platform to your
    tenant organizers.
  2. You must provide organizers access to Premier Tickets’ tools when requested.
  3. You shall not engage with competing ticketing platforms on exclusive terms if enrolled as an “Exclusive
    Venue Partner”.
  4. Branding guidelines, trademarks, and marketing resources must be used appropriately and in line with Premier
    Tickets’ identity.

Intellectual Property & Marketing Rights

  1. Premier Tickets grants non-exclusive, revocable rights to use marketing assets for marketing & promotional
    purposes.
  2. White-label options (if offered) must be executed with prior approval and limited to designated usage.
  3. All branding elements remain the sole property of Premier Tickets.

Confidentiality & Data Protection

  1. Venue Partners must maintain the confidentiality of all commercial, technical, and customer data shared
    during the partnership.
  2. All personal data shared via referrals or dashboard access must be handled in accordance with data privacy
    regulations such as GDPR or CCPA.
  3. Sharing organizer or customer data without consent is strictly prohibited.

Compliance & Ethical Conduct

  1. Venue Partners are expected to adhere to fair and lawful promotional practices, including organizer
    engagement and ticket promotions.
  2. Unethical behavior, false marketing claims, or misrepresentation of Premier Tickets services will result in
    termination.
  3. Premier Tickets reserves the right to conduct audits in cases of unusual ticketing or referral patterns.

Partnership Levels & Advancement

The Program offers tier-based benefits:

  1. Preferred Venue Partner: Recommends Premier Tickets to organizers but works with multiple
    platforms.
  2. Exclusive Venue Partner: Promotes Premier Tickets exclusively to all tenants and benefits
    from enhanced support and visibility.
  3. Premier Venue Partner: High-volume venues with 10+ events/month, co-branded campaigns, and
    elevated commission structures.
    Upgrades are evaluated quarterly based on number of ticketed events,
    referral quality, and partner
    collaboration.

Support & Communication

  1. Each Venue Partner is assigned a Partner Success Manager for onboarding, strategy, and operational support.
  2. Communication will be maintained via email, calls, and portal notifications.
  3. Venues will receive updates about new features, campaign strategies, and reporting tools.

Termination & Exit Policy

  1. Either party may terminate this agreement by providing 14 days written notice.
  2. Premier Tickets reserves the right to suspend or terminate the partnership in cases of:
    1. Breach of these Terms
    2. Misuse of branding or technology
    3. Fraudulent activity or unethical practices
    4. 90+ days of inactivity
  3. Upon termination:
    1. Outstanding valid commissions will be paid in the next payout cycle
    2. All promotional access and branding rights will be revoked

Limitation of Liability

  1. Premier Tickets will not be liable for any loss of revenue, indirect damages, or operational disruptions at
    the venue.
  2. You are solely responsible for your own organizers, compliance practices, and ticketing-related
    communications with tenants.

Indemnification

  1. Venue Partners agree to indemnify and hold Premier Tickets harmless from any claims, liabilities, or
    disputes arising out of:

    1. Violation of terms
    2. Organizer conflicts
    3. Data misuse or misrepresentation

Program Changes & Amendments

  1. Premier Tickets may modify these Terms or the Program structure with prior notice.
  2. Updates will be shared via email or the Venue Partner Dashboard. Continued participation after updates
    implies acceptance.

Governing Law & Jurisdiction

  1. These Terms are governed by the laws of India. Any disputes shall be subject to the courts of New Delhi.
  2. Both parties agree to resolve disputes through dialogue before resorting to legal action.

Miscellaneous

  1. These Terms supersede all prior agreements or understandings related to the Venue Partnership Program.
  2. If any part of these Terms is found unenforceable, the remainder shall still apply.
  3. Failure to enforce a provision does not constitute waiver of future enforcement rights.
